could be dodgy memory , try taking a stick of ram out and then try restarting to see if it works

Well Try to take out ram and rub the ram with a eraser at the bottom part which goes inside the slot to clean it and then try again and let us know the result.. One question do you have a spare PSU??

If you are using W7, that option exists here: Control Panel –> System and Security –> Power Options –> Choose what the power buttons do But since this occurs on both Wxp and W7, I would assume that the power button’s function is incorrectly set within the BIOS.
Answer #13
well one thing to clarify do you use shutdown button from Keyboard or the option inside ur OS i.e. from the start menu???

what you mean by PSU ???
Answer #16
Does the DRAM light stay on (it is meant to light during POST and then go out)?
Before you shut down disconnect your ethernet cable or disconnect your wireless connection (whichever applies), if it doesn’t restart your problem lies in Network adaptor settings in Device Manager (you need to uncheck all ‘Wake on’ settings under Power Managemant tab for your adaptor). You could also try creating a shutdown shortcut, right click the desktop and select new shortcut, enter Shutdown.exe -s -t 00 in the first box, then click next and name it whatever you want, if it stays shutdown after that then the problem is likely related to the Network adaptor power management (as above) and your power options in Control Panel.
Oh Yeah PSU – Power Supply Unit – the box type thing with lots of cables coming out of it
Answer #17
try entering setup from the PC’s boot screen (not windows boot screen) and see if there’s a way to set it to default settings
you may have an incorrect bios setting
