File Replacing

I just had my comp re-done and win 2000 re-installed due to a virus etc, now I have a program installed and I am trying to replace the icon.exe with the crack of also the same name, it is telling me that I can’t replace it, in other words drag and drop won’t overwrite the file and for the life of me I can’t remember if I have to check/uncheck something somewhere.
HELP please and thanks in advance…

Open Task manager, and check whether ‘icon.exe’ is running in processes.
/If win 2000 has a Task manager
